Each party agrees to protect the other party’s confidential information and use it only for purposes of performing under the SOW. Confidentiality obligations survive termination.

Warranties and disclaimers

• Professional standards: We aim to deliver services with professional skill and care.
• Disclaimer: Except as expressly stated in an SOW, services and the website are provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. Our aggregate liability arising out of or related to the services will not exceed the amounts paid to us for the specific SOW giving rise to the claim.

Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the site or violation of these Terms.

Compliance with laws

You agree to comply with all applicable U.S. laws and regulations. Email communications will comply with CAN-SPAM requirements, and where applicable, phone communications will respect TCPA consent standards. We do not provide services to children under 13.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any dispute will be resolved in state or federal courts located in Florida, and you consent to their jurisdiction and venue.

Termination

We may suspend or terminate access to the website for violations of these Terms or for security reasons. SOWs may be terminated as provided in the applicable agreement.
